Effective Date: October 14, 2026
1. Introduction and Acceptance of Terms
These Terms of Service (the “Terms”) govern your access to and use of the website located at fembre.pro and any related services, content, features, communications, and offerings provided by Fembre (collectively, the “Services”).
By accessing, browsing, contacting, requesting a quote, booking, purchasing, or otherwise using the Services, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you must not use the Services.
These Terms constitute a legal agreement between you and Fembre, located at 203-55 East Beaver Creek Road, Richmond Hill, ON L4B 1L8, Canada.
2. Scope of Services
Fembre is a video-production studio providing creative, technical, and production-related services, which may include, without limitation:
- pre-production planning and consultation;
- scriptwriting, storyboarding, and concept development;
- video filming, directing, and on-location or studio production;
- editing, motion graphics, color correction, sound design, and post-production;
- delivery of final video assets in agreed formats;
- project management and production coordination;
- related creative services as described in a quotation, proposal, statement of work, or other written agreement.
Any services not expressly set out in a signed proposal, quotation, or written agreement are excluded unless otherwise agreed in writing by Fembre.
Fembre may subcontract or engage third parties to perform part of the Services where reasonably required, while remaining responsible for the overall coordination of the Services subject to these Terms and any applicable written agreement.
3. User Obligations and Responsibilities
You agree to:
- provide accurate, complete, and current information when communicating with Fembre;
- cooperate promptly and in good faith with all reasonable requests necessary for the provision of the Services;
- obtain and maintain all rights, permissions, releases, licenses, consents, and approvals needed for materials you provide to Fembre;
- ensure that any content, footage, images, music, trademarks, likenesses, locations, or other materials you supply do not infringe the rights of any third party;
- review deliverables promptly and provide feedback, approvals, or revision requests within the timeframes agreed;
- comply with all applicable laws, regulations, and venue policies when participating in or facilitating production activities;
- not use the Services for unlawful, defamatory, obscene, infringing, fraudulent, or abusive purposes.
You are solely responsible for the legality, accuracy, and appropriateness of materials and instructions you provide to Fembre. Where you request that Fembre use third-party content, you represent that you have obtained all necessary permissions.
4. Payment Terms and Conditions
Fees for Services will be as stated in the applicable quotation, proposal, invoice, or written agreement. Unless otherwise stated, all fees are in Canadian dollars (CAD) and are exclusive of applicable taxes, including GST/HST and any other required taxes or governmental charges.
- Deposits: Fembre may require a non-refundable deposit or retainer before work begins or before production is booked.
- Invoices: Invoices are payable within the timeframe specified on the invoice or agreement. If no timeframe is specified, payment is due within 14 days of the invoice date.
- Late Payments: Overdue amounts may accrue interest at the maximum rate permitted by applicable law, or if no maximum is specified, at a commercially reasonable rate, from the due date until paid in full.
- Expenses: Client-approved out-of-pocket expenses, including but not limited to travel, locations, talent, equipment rentals, stock assets, music licenses, and rush delivery charges, may be billed in addition to service fees.
- Chargebacks and Disputes: You agree to first contact Fembre to resolve billing issues in good faith before initiating any chargeback or payment reversal. Unjustified chargebacks may be treated as a material breach of these Terms.
Fembre may suspend work, delay delivery, or withhold final files or license grants until all outstanding amounts are paid in full, to the extent permitted by law.
5. Cancellation and Refund Policy
Because video-production services often require advance scheduling, labor, and non-recoverable costs, cancellations and refunds are subject to the following terms unless a separate written agreement states otherwise:
- Cancellations by Client: If you cancel a project, booking, shoot, or production date, you remain responsible for all work performed, committed third-party costs, and any non-cancellable expenses incurred by Fembre up to the date of cancellation.
- Deposits/Retainers: Deposits and retainers are non-refundable unless Fembre expressly agrees otherwise in writing or applicable law requires a refund.
- Rescheduling: Requests to reschedule are subject to availability and may require additional fees to cover crew, equipment, location, or vendor changes.
- Refunds: Refunds, if any, are issued only at the discretion of Fembre or as required by law, and may be reduced by work completed, committed costs, and administrative expenses.
- Delivered Services: No refund is due for Services already performed, approved, or delivered in accordance with the agreed scope.
Fembre may cancel or pause a project if you fail to provide required materials, approvals, access, or payment, in which case you remain liable for amounts accrued to date.
6. Liability Limitations
To the fullest extent permitted by applicable law, Fembre, its directors, officers, employees, contractors, agents, and affiliates shall not be liable for any indirect, incidental, special, consequential, exemplary, punitive, or aggravated damages, including loss of profits, loss of revenue, loss of data, business interruption, or reputational harm, arising out of or related to the Services or these Terms, even if advised of the possibility of such damages.
To the fullest extent permitted by law, the total aggregate liability of Fembre for any claim arising out of or relating to the Services or these Terms shall not exceed the amount paid by you to Fembre for the specific Services giving rise to the claim in the three (3) months preceding the event giving rise to liability, or CAD $500 if no amount has been paid, whichever is greater, except where liability cannot be limited under applicable law.
Fembre does not warrant that the Services will be uninterrupted, error-free, or meet every subjective expectation. Creative services inherently involve judgment, style, and interpretation, and final output may vary from initial concepts, references, or expectations due to practical production constraints, technical factors, or approved revisions.
Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law, including liability for fraud, wilful misconduct, or other non-excludable obligations.
7. Intellectual Property Rights
Unless otherwise agreed in writing:
- all pre-existing materials, methodologies, workflows, templates, tools, know-how, software, and production assets used by Fembre remain the sole property of Fembre or its licensors;
- you retain ownership of materials you provide to Fembre, subject to your grant of the rights necessary for Fembre to perform the Services;
- upon full payment of all amounts due, and subject to any third-party rights, Fembre will grant or assign to you the rights in final deliverables as set out in the applicable agreement, quotation, or invoice.
Unless expressly stated otherwise in writing, Fembre retains the right to:
- use general know-how, skills, and experience gained during the provision of the Services;
- display non-confidential work, excerpts, stills, and project descriptions in portfolios, showreels, case studies, social media, award submissions, and marketing materials for self-promotional purposes, unless you provide a written objection before production begins.
You grant Fembre a non-exclusive, worldwide, royalty-free license to use, reproduce, edit, adapt, and process materials you provide solely as needed to perform the Services and support project delivery.
8. Data Protection and Privacy
Fembre may collect, use, disclose, and store personal information in connection with the operation of the Services, client communications, project management, billing, and service improvement. Fembre will handle personal information in accordance with applicable Canadian privacy laws, including the Personal Information Protection and Electronic Documents Act (PIPEDA), and any applicable provincial privacy legislation.
By using the Services, you acknowledge that:
- personal information may be collected from you directly, through forms, email, phone, or project materials;
- personal information may be used for service delivery, administration, invoicing, quality assurance, and lawful business purposes;
- Fembre may disclose personal information to trusted service providers, subcontractors, and professional advisors where reasonably necessary to provide the Services or comply with law;
- internet and email communications are not always secure, and you use them at your own risk.
Where required by law, Fembre may maintain a privacy policy or other data-handling notices that supplement these Terms. If there is a conflict between these Terms and any separate privacy policy concerning privacy-specific matters, the privacy policy will govern to the extent of that conflict.
9. Force Majeure
Fembre shall not be liable for any delay or failure in performance caused by events beyond its reasonable control, including but not limited to acts of God, fire, flood, extreme weather, pandemic, epidemic, labour disputes, government action, war, terrorism, civil unrest, power failures, internet outages, equipment breakdown, vendor failure, or the unavailability of locations, talent, or permits.
If a force majeure event occurs, Fembre may suspend performance, extend deadlines, reschedule production, or terminate affected Services if the event continues for a commercially unreasonable period.
10. Changes to Terms
Fembre may update or revise these Terms from time to time to reflect changes in business practices, legal requirements, or operational needs. The updated Terms will be effective when posted on fembre.pro or otherwise communicated to you, unless a later effective date is stated.
Your continued use of the Services after the effective date of any revised Terms constitutes acceptance of the revised Terms. If you do not agree to the changes, you must stop using the Services.
11. Applicable Law and Jurisdiction
These Terms and any dispute arising out of or relating to them, the Services, or any related transaction shall be governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of laws principles.
You irrevocably submit to the exclusive jurisdiction of the courts located in Ontario, Canada, for the resolution of any dispute, claim, or proceeding arising from or relating to these Terms or the Services, subject to any mandatory rights you may have under applicable law.

13. Severability Clause
If any provision of these Terms is found to be invalid, unlawful, void, or unenforceable by a court or other competent authority, that provision shall be severed to the minimum extent necessary, and the remaining provisions shall continue in full force and effect.
If any invalid or unenforceable provision can be made valid and enforceable by modifying it, the provision shall be interpreted as modified to the minimum extent necessary to make it valid and enforceable, while preserving the original intent as closely as possible.
By using the Services, you acknowledge that you have read and understood these Terms and agree to be bound by them.
